The following terms are defined for the purposes of these Terms and Conditions:
Access to the Platform is reserved for Users with a valid professional email address. BuyrBox SAS reserves the right to refuse access to any person who does not meet these criteria or in case of abusive use. The Platform is intended exclusively for professional use. French consumer law does not apply.
Access to the service requires the creation of a personal Account. The User agrees to provide accurate information, keep it up to date, and maintain the confidentiality of their login credentials.

Brief to deal enables Users to create and manage Deals between DSP and SSP. It offers:
The User acknowledges that Brief to deal enables, after explicit confirmation, the creation of Deals on partner SSP platforms. BuyrBox acts as a technical service provider based on parameters provided by the User, without editorial control over Deal content.
When a User requests it, Brief to deal can create a Deal directly on a partner SSP's platform. This process generates a Deal identifier (Deal ID) in the SSP's environment, which can then be communicated to the relevant DSP(s) for activation under their own contract with the SSP.
BuyrBox SAS has a separate contract with each partner SSP, under which BuyrBox provides technical integration and receives compensation. Each SSP has its own contract with DSPs, governing media transactions executed via the Deal ID. The User is responsible for their commercial relationship with their DSP (activation, commercial terms, billing, etc.).
BuyrBox acts solely as a technical intermediary facilitating the creation of the Deal ID on the SSP's platform, based on parameters provided by the User. BuyrBox does not:
Free and paid plans: Sitelist Builder is available in a free version with limited features, and in one or more paid subscription plans offering extended features.
Payment processor: Payments for paid subscriptions are processed securely via Stripe. Users must provide valid payment information when subscribing.
Billing cycles: Subscriptions are billed monthly or annually, at the User's choice upon subscription.

Refunds: Payments made are non-refundable, except as required by law.
When a Deal is created via Brief to deal, BuyrBox SAS receives compensation from the relevant SSP. This compensation is agreed contractually between BuyrBox and the SSP. The standard compensation rate is 10% of media spend processed through the Deal. This compensation does not influence the rankings or suggestions displayed on the Platform.
The Platform, its content, structure, and database are the exclusive property of BuyrBox SAS. Any reproduction or unauthorized use is prohibited without prior written consent.
Personal data is processed exclusively to provide and improve the Platform, manage subscriptions, and enable Deal execution. Personal data collected via the Platform is processed in accordance with applicable regulations (GDPR).
The Platform uses Amplitude for analytics and session replay to improve user experience. This includes recording user interactions (clicks, navigation, form interactions). Sensitive data such as passwords and payment information is automatically masked. Session recordings are retained for a maximum of 90 days. Users can opt out of session recording via cookie preferences.

The Platform is provided "as is" and "as available." BuyrBox does not guarantee uninterrupted access, the absence of errors, or the Platform's suitability for the User's specific objectives.
BuyrBox SAS cannot be held liable for indirect damages resulting from the use of the Platform, including, without limitation: loss of profit, financial loss due to time spent compensating for a failure, loss of contracts or clients, loss of revenue or savings, business interruption, damage to reputation, or loss/corruption of data.
In any event, BuyrBox SAS's total liability to the User cannot exceed the amount actually received by BuyrBox SAS from the SSP as compensation for the Deal concluded via the Platform, or the subscription fees paid by the User during the twelve (12) months preceding the event giving rise to the claim, whichever is lower.
BuyrBox SAS cannot be held liable for:
Site Lists generated, imported, or used via Sitelist Builder remain the sole responsibility of the User. BuyrBox provides tools and information (including third-party data enrichment and scraping) to help Users build their Site Lists, but does not guarantee the quality, accuracy, reliability, legality, or compliance with brand safety rules of inventories included in these lists. Any decision to execute Deals or purchase media based on Site Lists is made at the User's own risk.
BuyrBox SAS reserves the right to suspend or terminate any User Account, without notice, in case of violation of these Terms or abusive use of the service. The contract is of indefinite duration and may be terminated at any time by the User.
BuyrBox SAS reserves the right to modify these Terms at any time. Users will be informed of changes by any appropriate means. Continued use of the service constitutes acceptance of the new terms. New Terms will take effect 7 days after their publication, unless otherwise stated.
These Terms and Conditions constitute the entire agreement between the User and BuyrBox SAS regarding the use of the Platform and supersede any prior agreement, communication, or understanding relating to the same subject matter.
If any provision of these Terms is deemed invalid, illegal, or unenforceable, the other provisions shall remain in effect.
BuyrBox SAS's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of BuyrBox SAS. BuyrBox SAS may assign or transfer these Terms, in whole or in part, to an affiliated company or in connection with a merger, acquisition, or sale of assets, without restriction.
These Terms are governed by French law. Any dispute relating to their interpretation or execution shall be submitted to the competent courts in the jurisdiction of Nice.
